Terms of Service

These Terms of Service ("Terms") govern your access to and use of the EarnLeague platform, including the website at earnleague.com and all related services (collectively, the "Service"). The Service is operated by Aadhyant Solution LLP, a limited liability partnership registered in India with its registered office in Noida, Uttar Pradesh ("EarnLeague", "we", "us", or "our").

By creating an account, connecting a social-media account, entering a contest, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) and have the legal capacity to enter into a contract to use the Service. By using the Service, you represent that you meet these requirements. The Service is not intended for, and may not be used by, individuals under 13 years of age under any circumstances.

2. Accounts

To use most features of the Service, you must register an account using a valid email address. You agree to (a) provide accurate and current information; (b) maintain the security of your password and authentication tokens; and (c) accept responsibility for all activity that occurs under your account. You may not create more than one account, transfer your account to another person, or use another person's account without permission. You may close your account at any time from your account settings.

3. Connected Social Accounts

The Service lets creators connect third-party social-media accounts (currently Instagram and YouTube) so that engagement metrics on submitted content can be measured for contest scoring. By connecting a social-media account you authorise EarnLeague to access the data described in our Instagram Privacy Policy and main Privacy Policy. Your use of those third-party services remains governed by their respective terms (e.g., the YouTube Terms of Service at youtube.com/t/terms and the Instagram Terms of Use at help.instagram.com/519522125107875). You can disconnect any social account at any time from your EarnLeague profile, which deletes the associated tokens and cached data.

4. User Content and Licence

You retain ownership of all content you submit to the Service, including videos, images, captions, and other media ("User Content"). When you submit User Content to a contest, you grant EarnLeague and the brand sponsoring that contest a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, and distribute the User Content for the limited purpose of running the contest, displaying it on the contest leaderboard and your public profile, and promoting the contest in EarnLeague's marketing channels for the duration of the contest plus 90 days. The licence terminates after that period, except for any copies that have already been distributed for analytics or audit purposes.

You represent and warrant that (a) you own or have all necessary rights to your User Content; (b) your User Content does not infringe any intellectual-property right, privacy right, or other right of any third party; and (c) your User Content complies with these Terms and all applicable laws.

5. Contests and Prizes

EarnLeague hosts contests sponsored by brands and other third parties. Each contest is governed by both these Terms and any additional contest-specific rules published on the contest page ("Contest Rules"). In case of conflict between these Terms and the Contest Rules, the Contest Rules control for that contest only. Contest Rules become binding once the contest enters the "live" state and may not be changed in a way that materially disadvantages already-submitted creators.

Prize amounts, winner counts, scoring metric, contest start date, and contest end date are fixed at the moment a contest goes live. Winners are determined by the contest's declared scoring metric (e.g., views, likes, comments, impressions, reach, saves, plays) as reported by the third-party platform's APIs at the contest's end. Winners are paid by EarnLeague from prize funds provided by the contest sponsor, subject to verification, applicable taxes, and the payout terms disclosed on the contest page.

EarnLeague may disqualify any submission that violates these Terms or the Contest Rules, including submissions involving fraudulent metrics, purchased engagement, plagiarised content, or other manipulation. Disqualification decisions are final; disputes are reviewed by EarnLeague at its discretion.

6. Brand and Sponsor Responsibilities

If you create or sponsor a contest as a brand, agency, or other organisation, you agree that (a) all information you provide about your business and the contest is truthful and not misleading; (b) you have the legal right to fund the prize pool and pay the platform fee; (c) you will honour the prize amounts and winner counts you commit to; and (d) you will not use EarnLeague to promote any product or service that is illegal, deceptive, or otherwise prohibited by these Terms. EarnLeague may suspend or terminate any contest or campaign that violates these requirements.

8. Payments, Fees, and Refunds

Use of the Service is free for creators. Brands sponsoring contests pay (a) the prize pool, which is held in escrow and paid to winners on contest completion, and (b) a platform fee disclosed on the contest creation page. Fees are non-refundable except where required by law or where a contest is cancelled before any creator submissions are approved (in which case the prize pool plus platform fee are refunded). Where a contest ends with fewer qualifying winners than the declared winner count, the unfilled-slot prize amounts and the platform fee on those slots are refunded to the brand. All fees are in the currency disclosed on the contest page; we do not provide currency conversion.

9. Intellectual Property

The Service, including its software, design, branding, and all content other than User Content, is owned by EarnLeague or its licensors and is protected by Indian and international intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. All other rights are reserved.

10. Third-Party Services

The Service integrates with third-party services including Meta/Instagram, YouTube/Google, Firebase, and payment gateways. We are not responsible for the availability, content, or practices of any third-party service. Your use of those services is at your own risk and governed by their respective terms and privacy policies.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. WE DO NOT WARRANT THAT METRICS REPORTED BY THIRD-PARTY APIS ARE COMPLETE OR ACCURATE; YOU ACKNOWLEDGE THAT METRICS DEPEND ON THIRD-PARTY DATA WE DO NOT CONTROL.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EARNLEAGUE, ITS PARTNERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ₹10,000.

13. Indemnification

You agree to indemnify, defend, and hold harmless EarnLeague, its partners, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with (a) your User Content; (b) your breach of these Terms; (c) your violation of any third-party right, including any intellectual-property or privacy right; or (d) your violation of any applicable law.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including if we believe you have violated these Terms. Upon termination, your right to use the Service ends immediately, but Sections 4 (final paragraph), 8, 9, 11, 12, 13, 15, and 17 survive termination. You may terminate these Terms at any time by closing your account.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of India, without regard to its conflict-of-laws principles. The courts located in Noida, Uttar Pradesh, India have exclusive jurisdiction to resolve any dispute arising out of or related to these Terms or the Service, and you consent to the personal jurisdiction of those courts.

16. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on this page and updating the "Last updated" date above, and where appropriate by sending you an in-app or email notice. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes. If you do not agree to the changes, you must stop using the Service.

17. Miscellaneous

These Terms (together with our Privacy Policy and any Contest Rules) constitute the entire agreement between you and EarnLeague and supersede all prior agreements on the same subject matter. If any provision is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any right or provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them freely. These Terms create no third-party beneficiary rights other than as expressly stated.
